Terms of Service

These Terms of Service ("Terms") govern your access to and use of Care OS (the "Service"), provided by Oscar Yanez ("we", "us", or "our"). By creating an account or continuing to use the Service, you agree to be bound by these Terms.
1. The Service
Care OS is a software platform for California Residential Care Facilities for the Elderly (RCFEs) that assists with compliance, documentation, incident reporting, inspections, resident records, and related operational workflows. The Service is a tool; it does not replace professional legal, regulatory, or medical advice.
2. Eligibility and accounts
You must be at least 18 years old to use the Service. If you use the Service on behalf of a facility or organization, you represent that you are authorized to bind that organization to these Terms. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Provide accurate information and keep it current.
3. Acceptable use
You agree not to:
- use the Service in violation of any law or regulation;
- use the Service to send spam, commit fraud, or infringe intellectual property rights;
- probe, scan, or interfere with the security of the Service, upload malware, or scrape data;
- reverse-engineer, resell, redistribute, or attempt to bypass technical limits of the Service;
- upload content you do not have the right to share, including protected health information you are not authorized to process.
4. Your content
You retain ownership of the content you upload (resident records, documents, notes, etc.). You grant us a limited, worldwide license to host, transmit, and process that content solely to provide and improve the Service for you. You are responsible for having the legal basis to process any personal information about residents, staff, or third parties that you enter into the Service.
5. AI features
The Service uses AI to draft narratives, summarize documents, and surface compliance signals. AI outputs may contain errors and are not a substitute for professional judgment or legal, medical, or regulatory advice. You are responsible for reviewing AI outputs before relying on them in official filings, resident records, or regulatory submissions. You must not use the Service to generate content that is unlawful, harmful, or infringing.
6. Intellectual property
We retain all rights, title, and interest in the Service, including software, design, documentation, and branding. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to access and use the Service within your chosen plan.
7. Payment and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by the Paddle Buyer Terms. Subscription fees are billed in advance on a recurring basis (monthly by default) and renew automatically until canceled. You can cancel at any time from the in-app billing portal; access continues through the end of the paid period.

9. Suspension and termination
We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious policy violations. You may stop using the Service and cancel your subscription at any time. On termination, you may export your data for a reasonable period; afterwards we may delete it.
10. Warranties and disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet regulatory requirements of every jurisdiction.
11. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid to us (through Paddle) in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, personal injury, or any other liability that cannot lawfully be excluded.
12. Indemnification
You will indemnify and hold us harmless from claims arising out of your content, your use of the Service in violation of these Terms, or your violation of applicable law.
13. Changes
We may update these Terms from time to time. Material changes will be communicated in-app or by email. Continued use of the Service after the changes take effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the State of California, USA, excluding its conflict-of-laws rules. The state and federal courts located in California will have exclusive jurisdiction over any dispute, subject to any mandatory consumer protections in your country of residence.
